Terms of Use

These Terms of Use govern your access to and use of WM-Agent. By accessing or using the service, you agree to be bound by these terms and applicable law.

If you do not agree, do not use the service. If you use WM-Agent on behalf of an organization, you represent that you have authority to bind that organization.

You must be legally capable of entering a binding agreement to use this service.

You agree to provide accurate registration information and to maintain account security, including safeguarding your email account and sign-in links.

WM-Agent provides software workflows for portfolio organization, monitoring, and analysis support for informational purposes.

Features may be added, modified, suspended, or discontinued at any time without liability, subject to applicable law.

WM-Agent and all generated outputs are informational only. Nothing in the service constitutes investment advice, legal advice, tax advice, accounting advice, brokerage services, or a solicitation to buy or sell securities.

You are solely responsible for evaluating information and making investment decisions. Past performance does not guarantee future results.

You agree to use WM-Agent only for lawful purposes and in compliance with these terms.

• Do not probe, scan, or test vulnerabilities without authorization.
• Do not interfere with service integrity, availability, or performance.
• Do not use automated abuse, scraping, or credential attacks.
• Do not upload unlawful, infringing, or malicious content.
• Do not reverse engineer restricted components except as allowed by law.

The service may rely on third-party data providers, infrastructure vendors, and external links. We do not control third-party services and are not responsible for their availability, security, or content accuracy.

Third-party terms may apply when you interact with external services integrated through WM-Agent.

WM-Agent, including software, interfaces, branding, and underlying materials, is protected by intellectual property laws and owned by us or our licensors.

Subject to these terms, we grant you a limited, non-exclusive, non-transferable, revocable license to use the service.

If you believe content in WM-Agent infringes your copyright, submit a notice with sufficient detail to:

Include your contact details, identification of the copyrighted work, the allegedly infringing material, a good-faith statement, and a statement under penalty of perjury as required by applicable law.

We may suspend or terminate access if we reasonably believe you violated these terms, created security risk, or used the service unlawfully.

You may stop using the service at any time. Certain sections survive termination, including intellectual property, disclaimers, limitations of liability, indemnity, and dispute resolution.

To the maximum extent permitted by law, WM-Agent is provided "as is" and "as available" without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, availability, or accuracy.

To the maximum extent permitted by law, WM-Agent and its affiliates, officers, employees, and licensors are not liable for indirect, incidental, consequential, special, exemplary, or punitive damages, including lost profits, lost data, loss of goodwill, or investment losses.

To the maximum extent permitted by law, our aggregate liability for claims relating to the service will not exceed the greater of: (a) amounts paid by you to us for the service in the 12 months before the event giving rise to liability, or (b) USD $100.

You agree to defend, indemnify, and hold harmless WM-Agent and its affiliates from claims, liabilities, damages, losses, and expenses (including reasonable attorneys fees) arising out of:

• Your use or misuse of the service.
• Your violation of these terms or applicable law.
• Your infringement of third-party rights.

Except for disputes eligible for small claims court or seeking injunctive relief for intellectual property misuse, disputes arising from these terms will be resolved by final and binding arbitration on an individual basis.

Arbitration will be administered under applicable consumer arbitration rules of a recognized US arbitration provider (for example, AAA). No class, collective, representative, or private attorney general action is permitted to the fullest extent allowed by law.

If you wish to opt out of arbitration, send written notice within 30 days of first acceptance to legal@belfortagent.xyz with subject line "Arbitration Opt-Out" and your account email.

These terms are governed by the laws of the State of California, without regard to conflict of laws principles, except where preempted by US federal law.

Where court proceedings are permitted, exclusive jurisdiction and venue will lie in state or federal courts located in California, and each party consents to personal jurisdiction there.

• Electronic communications: You consent to receiving electronic notices and records.
• Assignment: You may not assign these terms without our consent; we may assign in connection with a merger or reorganization.
• Severability: If any provision is unenforceable, the remaining provisions remain in effect.
• Entire agreement: These terms and referenced policies are the entire agreement regarding service use.

We may revise these terms. Material updates will be posted with an updated effective date and may require re-acceptance before continued access.
